1. Grant of License

Subject to the terms below, Alaska Media Market (acting as authorized agent for the Photographer) grants the Licensee a non-exclusive, non-transferable, worldwide, perpetual license to use the Image for any lawful commercial purpose, with no impression cap, including use on merchandise offered for resale.

2. Permitted Uses

In addition to all uses permitted under the standard Commercial license:

Unlimited impressions and circulation across all media.

Use on physical or digital merchandise offered for resale (prints, apparel, calendars, NFTs, products, etc.) where the Image forms part of the product's value.

Use across multiple projects, brands, and divisions within the Licensee organization.

Use in software products, games, and applications distributed to end users.

3. Still Prohibited

The Licensee may NOT:

Sublicense, resell, redistribute, or transfer the Image as a stand-alone digital asset (i.e., re-stock the Image).

Use the Image as a trademark, service mark, or logo.

Use the Image in subject matter that is defamatory, pornographic, hateful, or that misrepresents identifiable subjects.

Claim authorship of the Image.

4. Releases

This tier is only offered for media with both model and property releases on file. The Licensee agrees to use the Image only within the scope of those releases.

5. Exclusivity

This license is non-exclusive. The Photographer may continue to license the Image to other parties.

6. Term

This license is perpetual for the permitted scope. It terminates automatically upon material breach, in which case the Licensee must cease use and destroy all copies, except for products already manufactured and entered into commerce in good faith prior to termination.

8. Warranties

The Photographer warrants they own or have the rights to license the Image, and that the appropriate releases are on file. THE IMAGE IS OTHERWISE PROVIDED "AS IS." Alaska Media Market AND THE PHOTOGRAPHER DISCLAIM ALL OTHER WARRANTIES.

9. Indemnification

Alaska Media Market will indemnify the Licensee against third-party claims arising from the Photographer's lack of rights or releases, up to ten thousand United States dollars ($10,000) per claim. The Licensee will indemnify Alaska Media Market and the Photographer against claims arising from the Licensee's use of the Image outside the scope of this license.

10. Limitation of Liability

Except for indemnification obligations, total liability of either party is limited to ten thousand United States dollars ($10,000). Neither party is liable for indirect or consequential damages.

11. Governing Law

This agreement is governed by the laws of the State of Alaska, USA. Disputes shall be resolved in the state or federal courts located in Anchorage, Alaska.
